The notes were sold in a private offering only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the U.S. Securities Act of 1933, as amended (the <q>Securities Act</q>). The offering represents the aggregate of both the previously announced, upsized offering of $275.0 million, as well as the full exercise of the $45.0 million option to purchase additional notes granted by Life360 to the initial purchasers of the notes, which aggregates to $320 million in principal amount of the Notes. The net proceeds from the offering were approximately $308.9 million, after deducting fees and estimated expenses. SAN FRANCISCO, June 03, 2025(GLOBE NEWSWIRE) -- Life360, Inc.(<q>Life360</q> or the <q>Company</q>) (NASDAQ: LIF, ASX: 360), today announced the pricing of its offering of $275.0 millionaggregate principal amount of 0.00% convertible senior notes due 2030 (the <q>notes</q>) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the <q>Securities Act</q>). The offering size was increased from the previously announced offering size of $250 millionaggregate principal amount of notes. The issuance and sale of the notes are scheduled to settle on June 5, 2025, subject to customary closing conditions. Life360also granted the initial purchasers of the notes an option to purchase, for settlement within a period of 13 days from, and including, the date the notes are first issued, up to an additional $45.0 millionaggregate principal amount of notes. The notes will be senior, unsecured obligations of Life360. The notes will not bear regular interest, and the principal amount of the notes will not accrete. The notes will mature on June 1, 2030, unless earlier repurchased, redeemed or converted. Before March 1, 2030, noteholders will have the right to convert their notes only upon the occurrence of certain events. Life360 Announces Pricing of Upsized Convertible Senior Notes Offering

SAN FRANCISCO, June 02, 2025(GLOBE NEWSWIRE) -- Life360, Inc.(<q>Life360</q> or the <q>Company</q>) (NASDAQ: LIF, ASX: 360), today announced its intention to offer, subject to market and other conditions, $250 millionaggregate principal amount of convertible senior notes due 2030 (the <q>notes</q>) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the <q>Securities Act</q>). Life360also expects to grant the initial purchasers of the notes an option to purchase, for settlement within a period of 13 days from, and including, the date the notes are first issued, up to an additional $37.5 millionaggregate principal amount of notes. Description of notes The notes will be senior, unsecured obligations of Life360, will accrue interest payable semi-annually in arrears and will mature on June 1, 2030, unless earlier repurchased, redeemed or converted. Noteholders will have the right to convert their notes in certain circumstances and during specified periods. Life360will settle conversions in cash or a combination of cash and shares of its common stock, at Life360’s election. The notes will be redeemable, in whole or in part (subject to certain limitations), for cash at Life360’s option at any time, and from time to time, on or after June 5, 2028and on or before the 40th scheduled trading day immediately before the maturity date, but only if the last reported sale price per share of Life360’s common stock exceeds 130% of the conversion price for a specified period of time and certain other conditions are satisfied. Tile, the maker of Bluetooth-powered lost item finder beacons and, more recently, a staunch Apple critic, announced today it has raised $40 million in non-dilutive debt financing from Capital IP. The funding will be put toward investment in Tile’s finding technologies, ahead of the company’s plan to unveil a new slate of products and features that the company believes will help it to better compete with Apple’s AirTags and further expand its market.
