OFFICIAL RULES

Sponsored by Tile, Inc. (“Sponsor”).

NO ENTRY FEE. NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR WIN.  THIS SWEEPSTAKES IS INTENDED FOR PLAY IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY U.S. LAW.  DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY.   Sweepstakes begins on December 13, 2021 at 11:00AM PT and ends on December 17, 2021 at 11:59PM PT (the “Sweepstakes Period”).

1. Eligibility: #FINDWITHTILE SWEEPSTAKES (the “Sweepstakes”) is open to legal residents of the 50 United States, plus the District of Columbia, who are at least 18 years of age (or at least the minimum age of majority in their state of residence, whichever is greater), and who have Internet access as of the beginning of the Sweepstakes Period.  Employees of Sponsor and its parent company, affiliates, subsidiaries, advertising, promotion, fulfillment or other coordinating agencies, individuals providing services to Sponsor through an outsourcer or temporary employment agency during the Sweepstakes Period, and their respective immediate family members (defined as parents, children, siblings, domestic partner, husband or wife) and persons living in their same household, are not eligible to participate in the Sweepstakes.  Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules & Regulations (“Official Rules”) and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes.  VOID WHERE PROHIBITED.

2. To Enter: An eligible person may enter the Sweepstakes for a chance to win a prize by completing the following steps during the Sweepstakes Period: (a) Like either (i) the Instagram post about the Sweepstakes published by Sponsor on its Instagram account on December 13, 2021 at 11:00AM PT or (ii) the Instagram post about the Sweepstakes published by QALO on its Instagram account on December 13, 2021 at 11:00AM PT (each being referred to herein as the “Post”); (b) Follow Tile, Skullcandy, QALO, and KeySmart on Instagram; and (c) Tag a friend in a comment to the Post.  Please note that all times and dates are in United States Pacific Time.  Please see world clock for time zone conversion information.  Sponsor’s computer is the official time-keeping device for the Sweepstakes.  By entering, participants agree to these Official Rules and consent to Sponsor’s use of participant’s personal information for purposes of administering this Sweepstakes in accordance with the Sponsor’s privacy policy, referenced below.  Upon completion of the instructions set forth above, participant will receive one (1) entry into the Sweepstakes.  No mechanically reproduced entries are allowed, and any use of robotic, automatic, programmed or the like entry methods will void all such entries by such methods.  LIMIT: Only one (1) entry per person is permitted during the Sweepstakes Period.  Entrants violating any of these Official Rules may be disqualified.

3. Prize Drawing: There will be a random drawing from among all eligible entrants held on or around December 21, 2021 at the Sponsor’s offices located at 1900 S. Norfolk St., Suite 310, San Mateo, CA 94403.  The drawing will be conducted either by independent persons or a computer program that randomly chooses the winner, from all eligible entries received.  Winners will be notified by direct message.   

4. Prizes and Odds: Two (2) winners will each receive a prize pack consisting of: one (1) Tile Performance 2022 Pack; one (1) Skullcandy Grind Fuel; one (1) Skullcandy Crusher Evo; one (1) QALO TraQ; one (1) KeySmart Max; and one (1) Google Home Mini.  The approximate retail value (“ARV”) of each prize pack is $583.91.  The odds of winning a prize depend on the total number of eligible entries received during the Sweepstakes Period.  Prizes are non-transferable.  No cash or other substitution of prizes is permitted, except at the sole option of Sponsor for a prize of equal or greater value.  Sponsor will not replace any lost or stolen prizes.  Winners are solely responsible for any and all federal, state, and local taxes, if any, that apply to prizes.  Total value of all prizes to be awarded: Approximately $1,167.82 (U.S.).  Entrants acknowledge and agree that Sponsor has not made nor is in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose.  Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefore, and winners agree to look solely to such manufacturers for any such warranty and/or guarantee.

5. Notification of Winners: Winner(s) will be notified by direct message to the Instagram account used for entry within five (5) business days of the prize drawing.  Even upon notification, a participant is not yet a confirmed winner until after verification by the Sponsor and confirmation that participant has met all eligibility requirements.  If a selected winner cannot be contacted, is ineligible, fails to claim a prize and/or provide any information required by Sponsor within the time specified by Sponsor, the prize may be forfeited and an alternate winner selected from remaining valid, eligible entries timely submitted.  In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the authorized account holder of the e-mail account specified in the entry.  “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted entry.  No automatically generated entries will be accepted.  Sponsor is not responsible for any change of email address, mailing address and/or telephone number of entrants.

6. General Rules: By entering the Sweepstakes, you agree to be bound by these Official Rules.  The Sweepstakes is offered by Tile, Inc., 1900 S. Norfolk St., Suite 310, San Mateo, CA 94403, which is not responsible for (i) late, lost, delayed, damaged, postage-due, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or postal mail or otherwise; (ii) theft, destruction, unauthorized access to or alterations of entry materials; or (iii) phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties.  By entering the Sweepstakes, you further agree to release, indemnify, defend and hold Sponsor and its parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Sweepstakes, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Sweepstakes or acceptance or use of a prize or parts thereof, including, without limitation, (i) any condition caused by events beyond Sponsor’s control that may cause the Sweepstakes to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; and (iii) any printing or typographical errors in any materials associated with the Sweepstakes.  Winners agree to be bound by these Official Rules, and Sponsor’s decisions in all respects relative to the Sweepstakes are final.  IN NO EVENT WILL SPONSOR BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE SWEEPSTAKES, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.  Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.  Sponsor is not responsible if the Sweepstakes cannot take place or if the prize cannot be awarded due to delays or interruptions as a result of acts of God, acts of war, natural disasters, weather, acts of terrorism, pandemic, or any other events beyond Sponsor’s control.  Entrants who do not comply with these Official Rules or attempt to interfere with this Sweepstakes in any way will be disqualified.   Automated entries are prohibited, and any use of automated devices will cause disqualification.  Sponsor reserves the right at its sole discretion, to disqualify any individual (and all of his or her entries) who tampers with the entry process.

7. Additional Conditions: Except where prohibited, by winning any prize, winner consents to the use of his/her name, photo and/or likeness, biographical information, entry and statements attributed to winner (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, a winner’s list, the Sweepstakes website at www.thetileapp.com and Sponsor’s homepage at www.thetileapp.com, without additional compensation.  All entries and surveys are property of Sponsor and none will be acknowledged or returned.  Allow 6-8 weeks for delivery of prizes or any lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof).  Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes in whole or in part, in the event of fraud, technical or other difficulties or if the integrity of the Sweepstakes are compromised, without liability to the entrant.  Sponsor reserves the right to disqualify any entrant or winner, as determined by Sponsor, in its sole discretion.  The Sweepstakes are subject to these Official Rules and all applicable federal, state, provincial and local laws and regulations apply.  These Official Rules are governed by the law of the State of California, excluding rules governing choice of laws.  Any action, suit or case arising out of, or in connection with, this Sweepstakes or these Official Rules must be brought in either the federal courts located in the Northern district of California or the state courts located in Santa Clara County, California.  Sponsor may collect personal data about entrants online, in accordance with its privacy policy and as may be more specifically set forth in these Official Rules.  Please review these Official Rules and Sponsor’s privacy policy at https://www.thetileapp.com/privacy.  By participating in the Sweepstakes, entrants hereby agree to Sponsor’s collection and use of their personal information and acknowledge that they have read and accepted these Official Rules and Sponsor’s privacy policy.  Entrants agree that any personal information may be processed, shared, and otherwise used for the purposes and within the context of the Sweepstakes and any other purposes outlined in these Official Rules.  Such personal information may also be used by Sponsor in order to verify any entrant’s identity, postal address, and telephone number, and to otherwise verify any entrant’s eligibility to participate in the Sweepstakes.  Entrants agree that Sponsor may send entrants various promotional materials, including but not limited to blogs, articles, specials, and informational e-mails regarding Sponsor’s business activities.  Entrants may access, review, rectify, or cancel any personal information held by Sponsor, and/or elect to have an individual’s name excluded from all lists used by Sponsor, by writing to Attn: #FINDWITHTILE SWEEPSTAKES, Tile, Inc., 1900 S. 8. Winner’s List, Official Rules: For a list of prize winners or a copy of these Official Rules, send your request and a stamped, self-addressed envelope to Attn: #FINDWITHTILE SWEEPSTAKES, Tile, Inc., 1900 S. Norfolk St., Suite 310, San Mateo, CA 94403 or (for Winner’s list only) send an e-mail message to support@thetileapp.com with “Winner’s list” as the e-mail subject and Sweepstakes name specified in the body of the e-mail.
