This User Content Release and Waiver (Agreement
) is between Life360, Inc. (Life360
) and the owner of the social media account from which the User Content was posted, who has accepted these terms in response to Life360's direct message or other written outreach (the User
). The specific User Content subject to this Agreement is identified in that communication (the Content Request
), which is incorporated herein by reference.
Definitions.
User
means the owner of the social media account from which the User Content was posted, who has accepted these terms in response to Life360's Content Request.
“User Content" means any and all content, materials, or information submitted, posted, uploaded, published, shared, or otherwise made available by the User on any social media platform, including without limitation the specific post(s) identified in Life360’s Content Request, and any and all photographs, images, videos, audio recordings, graphics, text, captions, comments, hashtags, tags, usernames, handles, likenesses, voices, and any other elements contained therein or associated therewith and all derivative works, excerpts, or adaptations of the foregoing.
Media
means, without limitation, electronic media, print media, broadcast media, digital media, news media, photography, cinema, advertising, internet or social media, websites, videos, audio recordings, films, broadcast programs, email publications, newsletters, magazines, books, journals, general publication of any kind, or any other form of media either now known or hereafter developed.
2. Grant of Rights and Content Use. User hereby grants to the Life360, its affiliates, agents and any third-party to which Life360 gives written permission, an irrevocable, royalty-free, worldwide, perpetual, non-exclusive, transferable, unrestricted license to use their User Content in any form of Media for any and all purposes, including but not limited to:
Marketing and promotional materials, including print, digital, and social media advertising
Website content, blog posts, newsletters, and email communications
Social media platforms (including but not limited to Instagram, Facebook, TikTok, YouTube, LinkedIn, and X/Twitter)
Trade show and convention promotional materials
Press releases, media kits, and public relations materials
Internal training and presentation materials
Broadcast media, including television and online streaming platforms
Use of the User Content singularly or in conjunction with other images of any kid
Any other commercial or non-commercial purpose deemed appropriate by Life360
The User acknowledges that the Life360 may edit, crop, modify, combine, otherwise alter, or make derivative works of the User Content at its sole discretion, and that no compensation, royalty, or payment of any kind is owed to the User for this grant of rights.
3. RELEASE OF LIABILITY. To the fullest extent permitted by applicable law, the User hereby releases, waives, discharges, and covenants not to sue Life360, its officers, directors, employees, agents, contractors, successors, and assigns (collectively, Released Parties
) from any and all claims, demands, actions, causes of action, damages, losses, costs, and expenses arising from or related to:
Use, publication, or distribution of the User’s User Content and image, likeness, or voice as described in this Agreement;
Any editorial decisions made by Life360 regarding the User Content, including decisions to use or not use the User Content;
Any claims of defamation, invasion of privacy, right of publicity, defamation, false light, copyright infringement, misappropriation of likeness, or any similar claims arising from the authorized use of the User Content.
4. Representations and Warranties. User represents and warrants that:
User is at least 18 years of age.
User has the full legal right, power, and authority to enter into this Agreement.
User has read and fully understands the terms of this Agreement.
User owns or controls all rights in and to the User Content and has the authority to grant the rights set forth herein;
Any individual appearing or identifiable in the User Content has consented to the uses contemplated by this Agreement; and
The User Content does not infringe or violate the intellectual property, privacy, or publicity rights of any third party.
5. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of laws provisions. Any disputes arising under this Agreement shall be resolved in the courts of competent jurisdiction in San Mateo County, California.
ACKNOWLEDGMENT
I have carefully read and fully understand this User ContentVideo & Photography Release and Liability Waiver. I acknowledge that I am voluntarily giving up certain legal rights, including the right to sue. I understand that this is a legally binding agreement and I am signing it freely and voluntarily.
